This presentation focuses on issues that arise when co-owners of private companies (business partners) depart from their business, including the process that governs partner exits from the business.  When partners plan for a future exit from the company, they will negotiate and prepare documents that we refer to as a business prenup, which typically involves a buy-sell agreement (BSA).  The paper and the presentation discuss the key terms included in BSAs between business partners, and will also address issues that trustees (and their advisors) will want to evaluate when they manage trusts that hold valuable ownership interests in private companies.

Ladd Hirsch is a senior business trial partner in the Dallas office of Bradley Arant Boult Cummings LLP who focuses much of his practice representing business owners and investors in Business Divorce matters, which involve conflicts arising out of their ownership interests in private companies.  As a trial attorney handling complex business disputes for more than 40 years for both companies and high net worth individuals, Ladd has handled a wide range of multi-party business cases in state and federal courts, as well as in arbitration proceedings.  Ladd’s Business Divorce practice also includes frequent work with family law counsel assisting their clients with business issues in marital divorce proceedings and with trust counsel assisting trustees and beneficiaries in trust litigation.
